These Terms and Conditions set out the terms and conditions between you, the purchaser of the digital product (hereafter 'Client'), and MidnightXCross ('us', 'we'), governing the use of our website and our downloadable products. By agreeing to the Terms and Conditions by checking in the box at checkout or when registering a new account, you agree to these terms.

1. License And Product Use

  • After purchasing a 'Learning Resource' (hereafter 'Resource'), Client will be given access to the Resource once payment has been confirmed. The Resource will be made available through the Client's account on this website (midnightxcross.com), and Client will receive an email to the address linked with their account with the order information.
  • After purchasing an 'Online Course' (hereafter, 'Course'), Client will be given access to the Course once payment has been confirmed. For a Course, this may take up to 24 hours. Client will be allowed access to the Course through the Client's account on this website (midnightxcross.com), and Client will receive an email with the order information. All Courses are password protected, and the password to access the Course is the Access ID, which can be found in the 'Downloads' section of the Client's account, and can also be found in the Client's order confirmation email.
  • In the case that you have previously purchased a Course via the MidnightXCross Course Portal, you already have a license to this product. Please contact us here or send an email to courses@midnightxcross.com, to be granted access through your new account to any 'Online Course' you purchased in the past. You are not required to purchase it again.
  • Your purchase of one of our products, Resource or Course, constitutes our granting to you of a non-sublicensable, non-transferable, license to download and/or access that product for the purpose of your own personal use and reference. Client agrees that the Product is not to be copied, resold, sub-licensed, rented out, shared, or otherwise distributed, whether modified or not, to any third party. 
  • We reserve the right to update or modify any resources or courses at any time without prior notice to the Client.

2. Price And Payment

  • The default currency is shown in AUD. Client may use the currency converter in the top left corner to change the value displayed to the Client's currency. Client understands that the price shown by the currency converter may not be the final price when paying via Paypal, due to changes in currency at the time of purchase.
  • Payment may be made via Paypal. If any payment methods are declined, Client shall provide a new eligible payment method before receiving access to the Resource or Course. In the event that the Client has already been given access to the Resource or Course and a payment method is declined, MidnightXCross reserves the right to terminate access to the Resource or Course.
  • If the total value at checkout comes to $0.00, the Free Checkout option may be used.

3. Refunds

  • Due to the nature of digital products being immediately accessible upon purchasing, no refunds or any fees or other amounts paid by the Client in connection with the Resource or Course will be allowed under any circumstances. Please read the information on the product page and view the additional images provided first to better understand whether a product is suitable for you before purchasing.

4. Personal Information

  • By using our website, you represent that you at least 18 years old, and that you are purchasing our digital products for your personal use only.
  • By puchasing a Resource or Course, Client will be asked to provide personal information, including name, email address, phone number, and billing address. Client agrees to allow MidnightXCross access to this information in order to process the Client's order. The information provided to MidnightXCross by Client will be kept secure and confidential.

5. Term and Termination

  • We may change, add, or remove portions of these Terms And Conditions at any time, which shall become effective immediately upon posting to the website (midnightxcross.com).

6. Disclaimer

  • MidnightXCross provides guidance and training based on the experience and knowledge of MidnightXCross. While every effort has been taken to ensure that the Resource or Course is accurate and fit for the use of the Client, MidnightXCross takes no responsibility whatsoever for the suitability of the Resource or Course. Client agrees to take responsibility for the Client's own results with regard to using the Resource or Course.

7. Force Majeure

  • If the performance of this Agreement or any obligations hereunder is prevented, restricted or interfered with by reason of earthquake, fire, flood or other casualty or due to strikes, riot, storms, explosions, acts of God, death of him/herself or a family member, war, terrorism, or a similar occurrence or condition beyond the reasonable control of the parties, the party so affected shall, upon giving prompt notice to the other party, be excused from such performance during such prevention, restriction or interference, and any failure or delay resulting therefrom shall not be considered a breach of this Agreement.

8. Responsibility

  • Although MidnightXCross tries to enure that all Resources and Courses work seamlessly and without errors, we do not warrant that your use of the product will be uninterrupted. We are not responsible for any loss or damage you may suffer resulting from any interruptions.

9. Transfer

  • This agreement cannot be transferred or assigned to any third party without written consent of both parties.

10. Entire Agreement

  • This is a binding Agreement that incorporates the entire understanding of the parties, supersedes any other written or oral agreements between the parties, and any modifications must be in writing, signed by both parties, and physically attached to the original agreement.

11. Severability

  • Any dispute arising from these terms of sale shall be governed by and construed in accordance with Australian law, and you irrevocably agree that the courts of Australia shall have exclusive jurisdiction to settle any arising dispute.
  • If any part, term, or provision of this Agreement shall be held illegal, unenforceable, or in conflict with any law of a federal, state, or local government having jurisdiction over this Agreement, the validity of the remaining portions or provisions shall not be affected thereby.
